Bye Laws

 

 

Note. These Bye-Laws should be read in conjunction with the new Constitution which the Surrey Group was obliged to produce following the conversion of the LDWA to a Company Limited by Guarantee on 14 March l 999. The requirement that the terms of our new constitution had to adhere to the wording of the Model Constitution provided by the National Committee prevented it including certain parts of the Surrey Group Constitution which was in force prior to 14 March 1999. The relevant parts have been included in these Bye-Laws.

1. GROUP MANAGEMENT COMMITTEE

1.1 In addition to the Chairman, Group Secretary and Treasurer the GMC shall consist of up to 4 others as decided by the AGM. All committee members shall be members of the Group and shall be elected at the AGM failing which the GMC will have power to co-opt.

1.2 Normally 3 Planning Meetings will be held each year on dates convenient for the management of the Group. One meeting will be held immediately following the AGM.

2. ANNUAL GENERAL MEETING

2.1 The AGM shall :

a) Confirm the minutes of the previous AGM.

b) Receive reports from the Chairman, Group Secretary and Group Treasurer.

c) Elect a Chairman, Group Secretary and Group Treasurer.

d) Elect up to 4 other Group Committee members.

e) Elect the Group Auditor.

f) Discuss any competent business.

3. FUNDS

3.1 All funds, except petty cash, shall be deposited with a Bank and/or Building Society in an account clearly marked as belonging to the Group. The account shall be operated by cheques signed by two of the three office bearers.

4. AMENDMENTS TO THE BYE-LAWS

4.1 Any resolution to amend these bye-laws shall fail if supported by less than two thirds of the votes of those present and voting at the AGM or if it is in conflict with the Constitution of the Group.
